1. Acceptance of Terms

By accessing or using the wedding planning services provided by Marigold ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Service

Marigold provides a wedding planning platform for guest management, ceremony planning, RSVP invitations, and wedding websites.

3. User Accounts

To access our services, you must create an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

4. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You will not use our services to:

• Violate any applicable laws or regulations
• Send spam or unsolicited messages
• Harass, threaten, or infringe upon the rights of others
• Distribute harmful, offensive, or inappropriate content
• Attempt to gain unauthorized access to our systems

5. Messaging, Consent & Customer Responsibilities

Marigold lets you send SMS text messages, WhatsApp messages, and emails to your wedding guests. Because you control who is contacted, you are responsible for the legality of those communications. By uploading recipient information or sending messages, you represent, warrant, and agree that:

• Prior express consent. You have obtained the necessary prior express consent from each recipient to receive the messages you send through Marigold, before you upload their phone number or send to them.
• Legal compliance. You will comply with all applicable laws, regulations, and industry and carrier requirements, including the Telephone Consumer Protection Act (TCPA), U.S. carrier 10DLC and other carrier messaging rules, the CAN-SPAM Act, and the WhatsApp Business and Meta messaging policies.
• Honoring opt-outs. You will promptly honor opt-out requests. Recipients may reply STOP to opt out of SMS, and may opt out of WhatsApp; opt-out requests are honored across the platform, and you will not attempt to circumvent them.
• Accurate sender identity. You will not send misleading, deceptive, or unlawful content, and you will allow messages to identify the sender as required.

Indemnification. You agree to indemnify, defend, and hold harmless Marigold and its affiliates from any claims, losses, liabilities, fines, penalties, and expenses (including reasonable legal fees) arising out of or related to your messages, your recipient lists, your failure to obtain required consent, or your violation of any of the obligations in this Section or applicable law.

Suspension for abuse. We may suspend or limit your account or messaging at any time, with or without notice, if we suspect spam, lack of consent, or other abuse, or to protect recipients, our platform, or our messaging providers.

6. Payment and Billing

The core platform (wedding website, RSVP, and guest management) is provided free of charge. Guest messaging is paid for via one-time purchases of message credits. You agree to pay the fees associated with any credits you purchase, including any optional auto-refill purchases you enable. Card payments are processed by Stripe through Stripe-hosted checkout; we do not receive or store your full card number. We may change our fees at any time, but will provide notice of any fee changes in advance.

7. Termination

We reserve the right to suspend or terminate your access to our services at any time for any reason, including violation of these Terms. You may terminate your account at any time by contacting us.

8. Limitation of Liability

Our services are provided "as is" without warranties of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, and shall not be liable for any damages arising from your use of our services.

9. Changes to Terms

We may modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
